Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between AhaConvert (“Company,” “we,” “our,” or “us”) and any individual or entity (“User,” “you”) accessing or using our services worldwide. By using the services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Services Provided

AhaConvert provides cloud-based tools for automated file format conversion. The services are designed to allow Users to upload digital files and convert them into alternative formats through a fully automated process.

Supported categories include, without limitation:

  • Video Conversion: MP4, AVI, MOV, MKV, and other commonly used formats;
  • Image Conversion: JPG, PNG, SVG, WEBP, and other formats;
  • Audio Conversion: MP3, WAV, FLAC, AAC, and other formats;
  • Document Conversion: PDF, DOC/DOCX, XLS, TXT, and other formats.

We do not guarantee compatibility with every possible file type, nor the preservation of all formatting or quality during the conversion process. Service availability, performance, and supported formats may vary depending on technical conditions.

We reserve the right, at our sole discretion, to modify, enhance, suspend, or discontinue any part of the services at any time without prior notice.

2. Eligibility

You may use the services only if you are:

  • at least 13 years of age (or 16 in the European Union/UK, unless local law allows otherwise), and
  • legally capable of entering into binding contracts under applicable law.

You further represent that your use of the services complies with all applicable local, state, national, and international laws and regulations, including but not limited to data protection, privacy, export control, and content regulations.

3. User Responsibilities

By accessing or using the services, you agree to the following:

  • Responsibility for Content: You remain solely responsible for all files, data, and materials uploaded for conversion, including their legality, reliability, and appropriateness.
  • Lawful Rights: You must ensure that you hold all necessary rights, licenses, and permissions to use, process, or share the files you upload.
  • Prohibited Uses: You agree not to use the services for any unlawful, infringing, malicious, or harmful purpose. This includes, without limitation:
    • Uploading or distributing malware, viruses, or harmful code;
    • Infringing intellectual property rights, including copyrighted works, trademarks, or trade secrets;
    • Circumventing or attempting to bypass digital rights management (DRM) or content protection systems;
    • Using the services in a manner that disrupts or degrades performance for other users.
  • Consequences of Misuse: Any misuse of the services may result in the immediate suspension or termination of your access, without prior notice, and may expose you to legal liability.

Additional Prohibited Activities:

  • Using automated scripts, bots, or other automated means to access the services without express written permission;
  • Attempting to reverse engineer, decompile, or extract the source code of our software;
  • Uploading files containing personal information of third parties without proper consent;
  • Using the services for commercial redistribution without a commercial license;
  • Overloading our systems through excessive use or coordinated attacks;
  • Creating multiple accounts to circumvent usage limitations.

User Indemnification: You agree to defend, indemnify, and hold harmless AhaConvert, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from: (i) your use of the services; (ii) your violation of these Terms; (iii) your violation of any third party rights, including intellectual property rights; or (iv) any content you upload or process through our services.

4. File Handling and Storage

  • Automated Processing: Files uploaded to the platform are processed automatically and exclusively for the purpose of conversion. No manual review or intervention occurs at any stage.
  • Temporary Retention: Files are automatically deleted from our systems within two (2) hours of upload, regardless of whether the conversion is successful. We do not permanently store, access, or archive user files.
  • No Content Monitoring: We do not monitor or review the contents of uploaded files and accept no responsibility for the nature or legality of such content.
  • Technical Limitations: You acknowledge that uploaded files may be lost, corrupted, or rendered inaccessible due to technical limitations, system failures, or network issues. We expressly disclaim all liability for such occurrences beyond our reasonable control.

Enhanced Data Protection:

  • Files are processed in secure, isolated environments;
  • All file transfers use industry-standard encryption (TLS 1.3 or higher);
  • We reserve the right to scan files for malware and security threats without accessing content;
  • Backup copies may be temporarily created during processing and are automatically deleted within the same 2-hour window;
  • In case of suspected illegal content, we may preserve files as required by law enforcement.

No Recovery Guarantee: Once files are deleted from our systems, they cannot be recovered under any circumstances. Users are solely responsible for maintaining their own backups.

5. Intellectual Property

  • Company Content: All content available on or through the platform (excluding user-uploaded files), including but not limited to software, source code, text, graphics, logos, trademarks, icons, user interface elements, and design, is and remains the exclusive property of AhaConvert or its licensors. This content is protected by copyright, trademark, trade secret, and other applicable intellectual property laws worldwide.
  • User Restrictions: You may not copy, modify, distribute, sublicense, reverse-engineer, decompile, disassemble, or create derivative works based on the platform or any portion thereof, except as expressly permitted in writing by AhaConvert.
  • User Files: You retain ownership of all rights, title, and interest in and to the files you upload for conversion. Uploading files does not transfer any intellectual property rights to AhaConvert. By using the service, you grant us a limited, non-exclusive, and temporary license to process such files solely for the purpose of performing the requested conversion.

DMCA Compliance: We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed, please contact us at [email protected] with:

  • Identification of the copyrighted work;
  • Identification of the infringing material;
  • Your contact information;
  • A statement of good faith belief that the use is unauthorized;
  • A statement that the information is accurate and you are authorized to act;
  • Your physical or electronic signature.

Repeat Infringer Policy: Accounts of users who repeatedly infringe intellectual property rights will be terminated.

6. Payment and Subscriptions

  • Paid Features: Certain features of the services may be offered subject to payment, whether as one-time fees, prepaid credits, or recurring subscriptions. Pricing, scope of features, and applicable terms will be communicated at the point of purchase.
  • Billing Information: You agree to provide accurate, complete, and up-to-date billing and payment details. Failure to do so may result in suspension or termination of access to paid features.
  • Recurring Charges: If you enroll in a subscription plan, you authorize AhaConvert to charge the applicable fees on a recurring basis until cancellation. You are responsible for canceling prior to renewal to avoid future charges.
  • Refunds: Payments are non-refundable except where required by applicable law. Refund requests, if accepted, will be handled at our sole discretion.
  • Changes to Fees: We reserve the right to modify pricing and payment terms at any time. Any changes will apply to subsequent billing cycles and will be communicated in advance when legally required.

All payment processing is handled by third-party providers. We do not store payment card information on our servers. Disputed charges must be reported within 60 days of the transaction date.

7. Disclaimer of Warranties

The services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. We do not guarantee that:

  • The services will be uninterrupted, error-free, or secure;
  • All file formats will be supported at all times;
  • Converted files will retain full accuracy, quality, or formatting;
  • We do not warrant that our services will meet your specific requirements;
  • We disclaim all warranties regarding third-party services or content;
  • No advice or information obtained from us creates any warranty not expressly stated herein;
  • We do not guarantee compatibility with all devices, browsers, or operating systems.

8. Limitation of Liability

To the maximum extent permitted by law:

  • AhaConvert shall not be liable for indirect, incidental, consequential, or punitive damages;
  • Liability for any claims shall not exceed the greater of USD $50.

In no event shall we be liable for:

  • Loss of profits, revenue, or business opportunities;
  • Loss of data or files (beyond our control);
  • Service interruptions or downtime;
  • Third-party actions or content;
  • Force majeure events including natural disasters, government actions, or infrastructure failures.

Time Limitation: Any claim against us must be commenced within one (1) year after the cause of action arises.

9. Termination

We may suspend or terminate your access to the services, in whole or in part, at any time and without prior notice, if you violate these Terms, engage in unlawful activity, or if we determine it is reasonably necessary to protect our business or other users. Upon termination, all rights granted to you under these Terms will cease immediately.

10. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government regulations, internet service provider failures, or other unforeseeable circumstances.

11. Dispute Resolution

Binding Arbitration: Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in English in San Francisco, California.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions or collective proceedings.

Small Claims Exception: Either party may pursue claims in small claims court for disputes within that court’s jurisdiction.

Injunctive Relief: Nothing herein prevents us from seeking injunctive relief for intellectual property infringement or violation of these Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

For disputes not subject to arbitration, the exclusive jurisdiction shall be the state and federal courts located in San Francisco County, California.

13. Miscellaneous

Severability: If any provision of these Terms is found to be unenforceable, the remainder shall remain in full force and effect.

No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.

Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.

Entire Agreement: These Terms constitute the entire agreement between you and us regarding the services.

Notices: All notices must be sent to the addresses specified in the Contact section below.

Language: The English version of these Terms shall prevail over any translated versions.

14. Changes to Terms

We may amend these Terms at any time, at our sole discretion. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use after the effective date constitutes acceptance of the revised Terms.
